GENERAL TERMS AND CONDITIONS

 

 

 

1) Applicability

These general terms and conditions  (the “Service Terms”) apply to all services provided by Gaya Leadership Coaching (“Gaya Coaching”) including those offered and booked through the website www.gaya-businesscoaching.ch. Gaya Coaching fulfills orders based on the applicable Service Terms at the date of order placement.

2) Provided Services

Gaya Coaching provides coaching services, workshops, conferences and personal treatments (the “Services”) to clients in return of the payment of a fee (the “Service Fee”)

3) Contract conclusion

The submission by a person of a coaching or treatment request, course, conference or workshop registration to Gaya Coaching constitutes a client order. The client’s order can be placed through email, telephone, or through Gaya Coaching’s website and implies the acceptance by the client of the Service Terms.

All services offered by Gaya Coaching constitute a contract of provision of services between Gaya Coaching and its clients. The contract is concluded in the moment that Gaya Coaching accepts the contract offer included in the client’s order. Gaya Coaching’s acceptance will be communicated in writing to the client. Gaya Coaching reserves the right to decline any contract offer

4) Pricing

All prices from Gaya Coaching are denominated in Swiss Francs and payable in Swiss Francs. All refunds are issued on Swiss Francs regardless of the currency of the buyer.

Coaching services are charged based on an hourly rate. The time charged includes all coaching time spent in presence, via videconference, telephone or email communication.

Gaya Coaching reserves the right to change its prices at any time.

The client agrees that the Services are subject to Swiss VAT. All Gaya Coaching prices include Swiss VAT and are final prices for the client.

5) Payment terms

a) Courses and workshops

Courses and workshops must be prepaid in full by the client latest by 4 weeks after invoice date, and in no case later than two weeks before the start of the course or workshop.

b) Coaching sessions and Treatments

All Coaching and treatment sessions are normally prepaid by the client before the session takes place. All Coaching and treatment sessions must be paid in full by the client latest by 2 weeks after the date of the coaching or treatment session.

c) Non payment

In case of non payment by the client by the above indicated dates and where the Services have not yet been delivered, Gaya Coaching reserves the right to terminate the client’s contract. In such case, any amounts paid by the client will not be returned.

The client agrees to pay Gaya Coaching a delay interest of 5% per year on the any due amounts, plus a reminder fee of CHF 20 per reminder notice, and to reimburse Gaya Coaching for any collection and legal costs involved.

9) Appointment rescheduling

The client is entitled to reschedule all scheduled coaching and treatment appointments up to 24 hours before the agreed appointment date at no cost via written notice. Gaya Coaching cannot guarantee providing the new appointment date and time requested by the client.

Gaya Coaching cannot guarantee any rescheduling of courses, workshops or conferences requested by the client. Such requests will be handled bona fide at Gaya Coaching’s discretion.

Gaya Coaching reserves the right at any time to change the location, time and date of any course, workshop, conference, treatment or scheduled appointment without assuming any liability for any damages caused by such changes. The changes will be communicated in writing to the client.

6) Cancellation by the Client

a) Coaching sessions and Treatment Cancellations

All coaching sessions and treatments with a scheduled appointment time can be cancelled by the client up to 24 hours days before the scheduled appointment via written notice. All these cancellations, where the appointment has been prepaid with credit or debit card, incur a cancellation fee of 2% of the Service Fee to cover cancellation costs.

In case of a later cancellation or lack of written notice, the entire amount of the Service Fee will be due and payable and no paid amount will be returned to the client.

b) Courses, workshops and conferences cancellation

The client is entitled to cancel a course, workshop, or conference via previous written notice with no cost until 2 weeks before the start of the course, workshop or conference. Any paid amounts will be returned to the client.

For cancellation notices received between 2 weeks and 3 days before a course starts a Processing fee of CHF 50 (the “Processing Fee”) is charged to the client. Any paid amounts less the amount of the Processing Fee will be returned to the Participant.

For cancellation notices received less than 3 days before a course, workshop or conference starts or cancellations without written notice, the whole Service Fee will be due and payable and no paid amount will be returned to the client.

Absence in the first day of a course, workshop or conference is handled as a cancellation without written notice.

8) Cancellation by Gaya Coaching

Gaya Coaching is entitled to cancel any coaching session, course, treatment, and/or scheduled appointment when necessary without assuming any liability for any damages caused by the cancellation. In such event any paid amounts by the client will be returned in full to the client.

Gaya Coaching is also entitled to terminate a client’s registration and/or its participation in a coaching session, course, workshop, conference, appointment or treatment at any time and with immediate effect in any of the following events; any breach of the Service Terms by the client, harassment of other participants or Gaya Coaching’s personnel by the client, and any misbehavior, illegal or illicit behavior. In such events there will be no return of any paid Service Fee.

9) Attendance and absences

a) Attendance to scheduled appointments

Client’s absence to a scheduled appointment, coaching session or treatment is handled as a cancellation without written notice.

b) Attendance to courses, workshops and conferences

Client’s attendance to all dates of a course or workshop is required to complete the course or workshop.

In case of client’s absence due to illness or accident, Gaya Coaching will try to offer the client, if possible, a place on the same course or workshop at a later date. Such place cannot be guaranteed though.

Absence in the first day of a course, workshop or conference is handled as a cancellation without written notice.

10) Disclaimer and limitation of liability

All offered coaching sessions, treatments, courses, workshops, conferences and services do not replace any treatment by a doctor, alternative health practitioner or psychotherapist. Gaya Coaching does not guarantee any specific benefits from any of the offered coaching services, treatments, courses and services.

Gaya Coaching does not assume any liability due to any damages of any nature arising out of any coaching session, treatment, course, workshop, or service offered, including but not limited to direct or indirect damages due to accidents, illness, property damage or robbery.

11) Data protection policy

Gaya Coaching collects, process, uses and stores personal data. Gaya Coaching protects personal data according to its Data Protection policy. By submitting an order to Gaya Coaching, the client agrees to be bound by Gaya Coaching’s Data Protection policy.

12) Miscellaneous

The client is liable for any damages caused by him to the premises, materials and equipment used by Gaya Coaching.

Gaya Coaching is entitled to change the Service Terms hereby stated without previous notice. The current Service Terms are valid until replaced by a newer version.

In case of conflict, the English version of these Service Terms prevail.

The Service Terms are subject to Swiss law.  Any dispute is subject to the courts of Zurich, Switzerland.
